POSITION SUMMARY
The Contracts Specialist is responsible for drafting, reviewing,
and negotiating a wide range of routine and complex contracts. This
role requires the ability to interpret legal language, collaborate
with both internal and external business teams, and prepare
contracts for execution and implementation. Additionally, the
Contracts Specialist will provide training and support on the
contract management system and assist with financial requisitions.
Strong legal knowledge, independent work habits, and the ability to
build cross-functional relationships are essential. The ideal
candidate will be proficient in relevant software, demonstrate
excellent organizational and time management skills, and have a
solid understanding of corporate matters. A detail-oriented
approach, effective communication and collaboration abilities,
self-motivation, and a positive attitude are crucial for success in
this position.
GENERAL DUTIES AND RESPONSIBILITIESAssist with reviewing, drafting,
and managing contract proposals (e.g., collaboration agreements,
NDAs, consulting agreements, licensing/IP agreements) within
established guidelines.
Manage the entire contract lifecycle, from drafting to execution,
while maintaining confidentiality and updating templates and
databases.
Act as the primary liaison and point of contact with partners,
collaborators, vendors, and internal departments for formal
communications, submittals, and negotiations of new contracts or
modifications.
Collaborate with the Executive Team and external legal teams to
maintain and renew intellectual property files.
Communicate with internal business partners regarding contract
risks and mitigation strategies and ensure contractual agreements
are fit to purpose.
Oversee the contract review process, ensuring accuracy,
coordinating approvals, tracking status, and managing renewals.
Analyze and interpret contract requirements, special provisions,
and terms to ensure compliance with applicable laws, regulations,
and company policies.
Maintain and renew internal library of contract templates and
language as appropriate
Develop accurate and compliant bid and change proposals, including
preparing necessary representations and certifications.
Train employees on contract processes and explain terms to managers
to ensure compliance.
Support Finance with contract-related purchase orders and legal
approval.
Provide legal support services efficiently, using discretion, or
engaging external counsel as needed.
Maintain organized digital and physical contract records, including
proposals, contracts, and modifications.
Exercise good judgment within established practices and policies,
selecting methods and techniques to achieve solutions.
Use initiative and discretion in accomplishing routine assignments
with minimal supervision.
Perform additional contract-related tasks or other duties as
required.
QUALIFICATIONS AND EDUCATIONBachelor's Degree in Contract
Management, Business Administration.
Certificate from an ABA approved paralegal program preferred.
Paralegal experience highly preferred.
Minimum 5-7 years of experience in contract management, contract
administration, or a related legal or business role.
Proven experience drafting, reviewing, negotiating, and managing a
high volume of contracts.
Strong understanding of contract law, legal terminology, and
compliance requirements.
Excellent written and verbal communication skills, with the ability
to clearly explain contract terms and risks to internal teams and
stakeholders.
Ability to manage the full contract lifecycle, from drafting and
negotiation to execution and compliance.
Demonstrated organizational and time-management skills, with the
ability to maintain detailed records and track contract
statuses.
Proficiency in contract management systems and related software
(e.g., MS Office, Adobe Acrobat, document management
platforms).
Ability to analyze and interpret contract provisions, laws, and
regulations, and assess their impact on business operations.
Strong attention to detail with the ability to ensure contract
accuracy and compliance with applicable laws and company
policies.
Proven ability to supervise and train teams.
Strong interpersonal skills, with the ability to liaise with
partners, vendors, and internal departments to facilitate
negotiations and resolve contract issues.
Ability to collaborate with senior leadership and external legal
teams on high-level matters.
Compensation and Benefits
The estimated compensation range for this position is $100,000 -
$120,000
